Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) are an agreement between you and TeamHUD, a product of GeekOffice LLC (“GeekOffice,” “we,” “us”), governing your use of the TeamHUD desktop application, the teamhud.app website, and related services (together, the “Service”). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Beta / testing period
TeamHUD is currently offered as a pre-release (alpha/beta) version, for testing and evaluation purposes. During this testing period:
- the Service is provided free of charge;
- it may contain bugs, errors, or instability, and features may change, break, or be removed at any time;
- we may introduce paid plans in the future, and we will give you notice before your continued use of the Service requires payment;
- free access during the testing period is not a guarantee of future free access or of continued access to the Service; and
- your data may be reset, corrupted, or lost during the testing period — please keep your own copies of anything important.
2. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use TeamHUD on devices you own or control, for your personal or internal business use. This license does not transfer any ownership of the software to you.
3. Restrictions
You agree not to, and not to permit others to:
- copy, resell, sublicense, or commercially exploit the Service except as expressly permitted;
- reverse-engineer, decompile, disassemble, or attempt to derive source code, except to the extent this restriction is prohibited by applicable law;
- circumvent, disable, or interfere with any security, access-control, licensing, or usage-limit measures;
- remove or alter any proprietary notices; or
- use the Service in violation of the Acceptable Use Policy or applicable law.
4. Your account and content
You are responsible for activity under your account and for keeping your credentials secure. You retain ownership of the content and data you provide. Our handling of your data is described in our Privacy Policy.
5. Third-party services
TeamHUD can connect to third-party services (such as your workspace chat) at your direction. Your use of those services is governed by their own terms, and we are not responsible for them.
6. Updates
We may update the Service from time to time, including automatic updates to improve security and functionality. We may also update these Terms; if we make material changes, we will ask you to review and accept the updated Terms.
7. Service availability and changes
We may modify, suspend, limit, or discontinue the Service or any feature, in whole or in part, at any time, with or without notice. We do not guarantee that the Service will be available, uninterrupted, timely, secure, or that any data will be preserved, and we offer no service-level or uptime commitment. You are responsible for maintaining your own backups of any important data.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory (including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement), to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free. This is particularly the case during the beta / testing period described in Section 1.
9. Limitation of liability
To the maximum extent permitted by law, GeekOffice will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or US $50.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless GeekOffice and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your content, or your violation of these Terms or applicable law.
11. Feedback
If you send us feedback, suggestions, or ideas about the Service, we may use them for any purpose without any obligation or compensation to you.
12. Eligibility
You must be of legal age to form a binding contract in your jurisdiction (the age of majority) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.
13. Export and compliance
You agree not to use, export, or re-export the Service in violation of applicable export-control or economic-sanctions laws and regulations, and you represent that you are not located in, or a resident of, any embargoed or restricted jurisdiction.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms. Sections that by their nature should survive termination will survive.
15. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first try to resolve the dispute informally by contacting us at support@teamhud.app.
16. General
These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
